The Corporate Paralegal II position requires paralegal training, experience to support the attorney's regulatory, operational and transactional work. S/he works under attorney direction with respect to the coordination and completion of governance/corporate filings, due diligence, preparation of contracts with physicians and vendors, corporate/legal documentation, legal research, construction/architect documentation and real estate matters in a health care law setting as well as monitor the production and execution of a variety of projects. This position requires the ability to work in conjunction with and under the supervision of attorneys but with judgment for taking appropriate activities independently. The Corporate Paralegal II must be able to work collaboratively and cooperatively with clients and with Legal Services team associates to achieve results. Spanish language skills are a plus.
Draft and/or review physician agreements, including without limitation: medical director agreements, professional service agreements, managed care agreement, vendor agreements, clinical affiliation agreements and employment agreements in coordination with supervising attorney
Draft and/or review system-wide supply chain agreements in coordination with supervising attorney
Assist with the preparation of amendments to medical staff bylaws in coordination with supervising attorney
Provide support o supervising attorney concerning medical staff issues
Prepare and file entity formation and related documents with Secretary of State
Prepare and submit assumed name filings, and maintain the assumed name database
In coordination with supervising attorney, independently review and draft documentation relevant to hospital mergers and acquisitions, joint ventures and other transactions
Build positive relationships within the team, with client contacts, and with other work teams to achieve results
Maintain and protect the confidentiality and privilege of confidential and privileged information
Coordinate, review and prepare due diligence materials including asset acquisitions, sale, bond refinancing, etc.
Assist in Centers for Medicare/Medicaid Services (CMS) applications and Civil Rights Compliance documents
Assist and coordinate licensure and change of ownership matters
Work with parties to facilitate large and complex transactions and closings
Research legal and regulatory issues affecting transactions and understand compensation and reimbursement concepts and strategies
Assist, draft, and coordinate internal projects, i.e. physician contract manual and contract manual
Research and write historical data on various projects
Perform other tasks as requested by supervising attorneys
Associate's degree; Bachelor's preferred
Paralegal Certificate from an ABA-accredited paralegal program preferred
Approximately 5-10 years of experience in paralegal or similar position
Minimal overnight travel (up to 10%) by land or air.
